Jurisdiction: These terms are governed by the laws of New Zealand.



1. Overview

This document governs the use of the AI Agency platform by Customers and End-Users. By creating an account, accessing services, or interacting with AI agents, you agree to these Terms of Service. If you do not agree, you must stop using the platform.

A separate Terms of Service applies to Agencies and SuperAgencies.



2. Definitions
• Customer: An individual or organization linked to a specific Agency or SuperAgency through the platform. Customers may purchase or subscribe to services delivered via the platform.
• End-User: An individual who interacts with AI agents or dashboards but is not acting as an Agency or SuperAgency.
• Agency / SuperAgency: Providers of services through the platform, subject to their own Terms of Service.
• Revenue Event: A qualifying financial transaction, such as a subscription or purchase, tied to a Customer account.



3. Accounts
• You must provide accurate and complete information when registering or being onboarded by an Agency.
• You are responsible for maintaining the confidentiality of your login credentials.
• You may not share accounts, impersonate others, or misrepresent your identity.



4. Services and AI Agents
• AI-generated responses are provided “as-is.” Neither SIGNAL GROUP LIMITED nor Agencies guarantee accuracy, reliability, or fitness for any purpose.
• You are solely responsible for how you use or act upon AI agent outputs.
• The platform disclaims liability for loss, damages, or consequences arising from AI responses.



5. Payments and Refunds
• Payments are processed securely via trusted third-party providers (e.g., Stripe).
• The platform does not store full card or bank details.
• Refunds, if available, are subject to the policies of the Agency or SuperAgency providing the service.
• The platform may suspend or revoke access if fraud, chargebacks, or disputes are identified.



6. Conduct

Customers and End-Users agree not to:
• Use the platform for illegal, abusive, or misleading purposes.
• Attempt to disrupt or exploit the AI systems or platform infrastructure.
• Circumvent payment systems or solicit off-platform transactions.
• Upload unlawful, harmful, or infringing content.

Violations may result in suspension or termination of access.



7. Data and Privacy
• The platform collects and processes data as described in the Privacy Policy for Customers and End-Users.
• Data may include account details, AI interaction logs, and payment information.
• By using the platform, you consent to processing in accordance with the Privacy Policy.



8. Access and Availability
• The platform is provided without guarantee of uninterrupted availability.
• Features may be added, modified, or removed at our discretion.
• Beta or experimental features may contain bugs and are provided without warranty.



9. Termination
• SIGNAL GROUP LIMITED may suspend or terminate your access at any time for breach of these Terms, fraud, or misuse.
• Termination may result in loss of access to your account, data, or linked services.
• Agencies and SuperAgencies may also restrict your access if you violate their policies.



10. Intellectual Property
• The platform, dashboards, AI models, and related technology remain the exclusive IP of SIGNAL GROUP LIMITED.
• Customers and End-Users retain ownership of original content they upload but grant the platform and the relevant Agency a non-exclusive license to use it for providing services.



11. Third-Party Services
• The platform integrates with third-party providers (e.g., Stripe, Supabase, OpenAI).
• Use of these services may be subject to their separate terms and policies.



12. Disclaimers and Limitation of Liability
• The platform and AI agents are provided on an “as-is” and “as-available” basis.
• To the maximum extent permitted by law, SIGNAL GROUP LIMITED disclaims all warranties and liability for damages, including loss of profits, data, or use.
• Nothing in these Terms excludes liability where prohibited by applicable law.



13. Governing Law and Dispute Resolution
• These terms are governed by the laws of New Zealand.
• Before bringing formal proceedings, parties agree to attempt good faith negotiation.
• If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of New Zealand, unless otherwise required by mandatory consumer protection law.



14. Changes to Terms

SIGNAL GROUP LIMITED reserves the right to amend these Terms of Service at any time. Updates will be posted at the link above with a revised effective date. Continued use of the platform constitutes acceptance of changes.
