Jurisdiction: These terms are governed by the laws of New Zealand.



1. Overview

This document governs the use of the AI Agency platform by users operating as Agencies or SuperAgencies. By registering and participating in the platform, you agree to the terms herein. Accessing or using any part of the platform constitutes agreement to these Terms of Service.

A separate Terms of Service applies to Customers and End-Users.



2. Definitions
• Agency: A registered account holder offering services to Customers through the platform. Anyone may register as an Agency. There is currently no fee to join, although this may change in the future. Agencies must comply with platform policies and verification requirements in order to receive payouts.
• SuperAgency: An elevated agency tier that earns override revenue from Agencies they onboard. SuperAgency status is by application only and subject to platform approval. Applicants may be required to meet minimum criteria including experience, compliance history, and quality of service.
• Customer: An external client linked to a specific Agency or SuperAgency.
• Revenue Event: A qualifying financial transaction tied to a Customer account (e.g., subscription, purchase).
• XP Points: Experience points awarded for activity, engagement, or contributions to the platform, which may enhance certain platform benefits including revenue share and access to tiered tools.



3. Revenue Sharing

3.1 Agency Revenue Share

Agencies are entitled to a base 50% share of net revenue generated by their linked Customers’ Revenue Events. This revenue share may be dynamically adjusted up to 80% based on XP points, performance, or other platform promotions.

3.2 SuperAgency Revenue Share

SuperAgencies receive:
• A base 50% share, adjustable up to 80%, of net revenue from their own Customers’ Revenue Events, and
• An additional 5% override skim from all Revenue Events generated by Agencies they have directly onboarded.

3.3 XP-Driven Adjustments & Limitations
• Revenue share is applied at the time of the sales event, based on the agency’s XP level and active promotions.
• Revenue share may increase or decrease between 50% and 80% depending on platform-determined eligibility.
• Revenue share is not applied retroactively to past transactions.
• There are no guarantees of earning XP or having XP applied to revenue share calculations.
• The platform will make reasonable efforts to apply XP consistently but makes no commitment or warranty as to timing, accuracy, or availability.
• The revenue share value shown in the Agency dashboard at the time of the transaction will be used to calculate and determine payout amounts.

Revenue shares are calculated on net receipts after platform fees and any applicable taxes.



4. Payouts

4.1 Eligibility

Revenue share becomes payable only upon approval by the platform and subject to all policy, risk, and compliance conditions. Agencies and SuperAgencies must meet all compliance requirements, including identity verification, to receive payouts.

4.2 Conditions for Disbursement

Payouts may be deferred indefinitely until all necessary conditions are met, including but not limited to:
• Completion of any required KYC/AML procedures
• Fraud review or dispute clearance
• Policy compliance

4.3 Payout Methods

Approved payouts will be made exclusively via Stripe, Wise, or Coinbase. No other payout channels (including crypto wallets) are supported.

4.4 No Custody or Entitlement

Funds are not held in custody for Agencies or SuperAgencies. Revenue share is recognized as a discretionary allocation and is not considered owned or owed until all release conditions are satisfied.

4.5 Refunds & Chargebacks

If a Customer disputes a payment or receives a refund for any reason, the platform reserves the right to reverse any associated revenue share. This may result in clawbacks from pending or future payouts.



5. Taxation & Compliance

Each Agency and SuperAgency is solely responsible for:
• Complying with tax laws in their country of residence
• Declaring income earned via the platform
• Managing regulatory obligations

The platform does not act as an employer, tax agent, or custodian. The platform does not issue formal tax invoices unless required by law. Payout records are available in the dashboard for reporting purposes.



6. Platform Use, Conduct & Data

6.1 AI Agents & Output Disclaimer

AI-generated responses and content are provided “as-is.” Agencies are solely responsible for reviewing agent outputs and ensuring compliance with local laws and professional standards. The platform disclaims any liability for inaccuracies or consequences resulting from AI behavior.

6.2 Data Collection & Use

The platform may collect, process, and use Agency and Customer data (including agent interaction data) to operate, improve, and monitor the performance of services. Agencies consent to such use in accordance with our Privacy Policy for Agencies and SuperAgencies. Data may be processed outside of New Zealand, including in the EEA, UK, or the United States under appropriate safeguards.

6.3 Agent Misuse & Prohibited Conduct

Agencies may not:
• Use agents to produce illegal, misleading, or abusive content
• Impersonate others or misrepresent affiliations
• Attempt to exploit the platform’s systems, AI models, or vulnerabilities
• Disrupt platform services or interfere with other users
• Solicit, accept, or process off-platform payments for services delivered through the platform

Violations may result in suspension, termination, or legal action.

6.4 Promotions & XP Mechanics

XP points and related benefits (e.g., visibility boosts, reward tiers, revenue share bonuses) are subject to change or removal at the platform’s discretion. No guarantee is made of earning XP or maintaining XP-linked rewards.

6.5 Seat Limits & Access Control

Each account is intended for a single business entity. Agencies may not share login credentials across multiple individuals unless expressly permitted. Seat limits or team access features may be introduced at the platform’s discretion.

6.6 Beta Features

Features marked as “beta,” “experimental,” or “preview” may contain bugs and are provided without guarantees of availability or accuracy. Use of such features is at the user’s own risk.

6.7 Indemnity

Agencies and SuperAgencies agree to indemnify and hold harmless SIGNAL GROUP LIMITED from any claims, damages, losses, or legal costs arising from their use of the platform, including AI agent outputs and customer interactions.

6.8 Platform Branding & Representation

Agencies may only use the platform’s name, logo, or branding in accordance with published brand guidelines. Agencies may not imply endorsement or partnership without express written consent.

6.9 API & Developer Access

Use of the platform’s API or developer tools is subject to additional terms. Misuse or abuse of API access may result in suspension.

6.10 Recordkeeping

Agencies are expected to retain sufficient records of client engagement, service activity, and compliance for at least 12 months, or as required by applicable law.



7. Access, Uptime & Support

The platform is provided without warranty or guaranteed uptime. Access may be interrupted for maintenance or unforeseen issues. Support is offered on a best-effort basis through designated communication channels.



8. Account Status & Enforcement

8.1 Termination

The platform reserves the right to suspend or terminate any Agency or SuperAgency account at its sole discretion.

8.2 Consequences of Termination

In the event of termination, any unpaid earnings may be forfeited if conditions for payout are not met. The platform retains discretion to resolve pending balances based on case-specific factors.

8.3 Breach & Fraud

The platform may delay or cancel payouts, revoke access, or terminate accounts in the case of:
• Suspected fraud or abuse
• Misrepresentation
• Breach of terms
• Legal non-compliance



9. Intellectual Property

The platform, its tools, models, dashboards, and agents remain the exclusive IP of SIGNAL GROUP LIMITED.
• Agencies retain ownership of original content they upload or generate but grant the platform a non-exclusive license to use it for platform functionality.



10. Subprocessors & Third-Party Services

The platform may use third-party services such as OpenAI, Supabase, Stripe, Wise, and Coinbase. Agencies acknowledge that these services are essential to platform functionality and subject to their own terms and policies.



11. Changes to Terms

SIGNAL GROUP LIMITED reserves the right to modify these Terms of Service at any time. Continued use of the platform after changes indicates acceptance.



12. Governing Law & Dispute Resolution

These terms are governed by the laws of New Zealand. Before initiating formal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation. If unresolved, the matter will be subject to the exclusive jurisdiction of the courts of New Zealand, unless otherwise required by applicable consumer protection laws.
